1. Applicability
- These terms apply to all invoices issued by Lucervium BV (hereinafter referred to as "Contractor") to the Client.
- If a contract exists between the Client and the Contractor, the terms and conditions of that contract take precedence over these general terms.
- In the absence of a contract, or where the contract is silent, these terms and conditions shall apply.
2. Invoicing and Payment Terms
- Invoices are issued based on the prices, rates, and conditions agreed upon in the contract or, if no contract exists, in accordance with these terms.
- Payments must be made within 30 days of the invoice date, unless otherwise agreed in writing.
- Payments should be transferred to the bank account mentioned on the invoice, referencing the invoice number.
3. Late Payment Interest and Costs
- In the event of late payment, the Client will automatically and without prior notice owe interest at a rate of 1% per month on the outstanding amount, starting from the invoice's due date.
- All reasonable costs incurred by the Contractor to enforce payment, including legal and collection costs, will be charged to the Client.
4. Invoice Disputes
- Any disputes regarding an invoice must be submitted in writing within 20 days of receiving the invoice.
- Filing a dispute does not suspend the Client’s payment obligation unless explicitly agreed otherwise in writing.
5. Indexation and Rate Adjustments
- The Contractor reserves the right to adjust rates annually in accordance with indexation or changes in relevant costs.
- Any adjustments will be communicated to the Client in writing in advance.
6. Suspension of Services
- The Contractor reserves the right to suspend the execution of agreed services if the Client fails to pay the amounts due, without prejudice to the Contractor’s other rights.
7. Governing Law and Jurisdiction
- These terms are governed by Belgian law and the Court of Antwerp
- Any disputes will be submitted to the exclusive jurisdiction of the Court of Antwerp, unless agreed otherwise in writing.
